Terms of Service

These Terms of Service ("Terms") govern your access to and use of proclipper.app and ProClipper's video clipping, captioning, editing, account, and billing services (the "Service"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Eligibility and accounts

You must be legally able to enter into these Terms and be at least 13 years old. You must provide accurate account information, keep your credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity conducted through your account.

The Service

ProClipper helps users identify engaging moments in supported YouTube videos, generate short clips and captions, and edit media. Processing availability and results depend on the source video, third-party services, and technical capacity. We may improve, modify, suspend, or discontinue features over time.

Your content and permissions

You retain ownership of content you submit. You grant ProClipper a limited, worldwide license to host, copy, process, modify, and transmit that content solely to operate and improve the Service. You represent that you own or have all permissions needed to submit, process, edit, and publish the content and that doing so does not violate copyright, privacy, publicity, or other rights.

A video's availability on YouTube does not automatically give you permission to copy or reuse it. You are solely responsible for confirming your rights and complying with YouTube's terms and applicable law.

Acceptable use

You may not:

• use the Service for unlawful, fraudulent, abusive, or harmful activity;
• process content that infringes intellectual-property or privacy rights;
• upload malware or attempt to access accounts, systems, or data without authorization;
• circumvent credits, rate limits, authentication, or other technical restrictions;
• interfere with the Service or place an unreasonable load on its infrastructure; or
• resell or reverse engineer the Service except where applicable law expressly permits it.

Generated results

Automated clip selection and captions may be incomplete, inaccurate, or unsuitable for your intended use. You are responsible for reviewing generated results before publishing or relying on them. We do not guarantee views, engagement, revenue, or any other performance outcome.

Credits

• Free accounts receive three starter video credits.
• Plus accounts currently receive 25 video credits per billing period.
• One credit is reserved when a video-generation job is successfully queued.
• A reserved credit is restored when processing ultimately fails.
• Credits have no cash value, are non-transferable, and may not be resold.
• Unused Plus credits do not roll over when the next billing-period allowance is issued.

Subscriptions and payments

Paid plans renew automatically at the price and interval shown during checkout until canceled. Dodo Payments processes checkout and payment information. You authorize the applicable recurring charges, including taxes. You can cancel before renewal; access and plan benefits continue only as indicated by your subscription status and applicable billing period.

Except where required by law or expressly stated during checkout, paid fees are non-refundable. Contact us promptly if you believe a charge was made in error.

ProClipper intellectual property

The Service, software, branding, interface, and related materials—excluding your content and third-party materials—belong to ProClipper or its licensors. These Terms grant only a limited, non-exclusive, non-transferable right to use the Service while your account remains in good standing.

Third-party services

The Service relies on third parties including Google, YouTube, Dodo Payments, and cloud infrastructure providers. Their services and terms are separate from ours. We are not responsible for third-party services or content outside our control.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access when reasonably necessary to address a Terms violation, security threat, legal requirement, nonpayment, or risk to the Service or others. Provisions that by their nature should survive termination will remain in effect.

Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." ProClipper disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

Limitation of liability

To the maximum extent permitted by law, ProClipper will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business opportunities. ProClipper's aggregate liability arising from the Service will not exceed the amount you paid to ProClipper during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.

Changes to these Terms

We may update these Terms as the Service changes. We will publish the revised Terms and update the date above. If a material change applies to you, we may provide additional notice. Continued use after the effective date constitutes acceptance of the revised Terms.

Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute will be subject to the jurisdiction of the competent courts in India, except where applicable consumer law requires otherwise.
